I acknowledge that the information on this Application is being collected to aid EUG Franchising, LLC and its affiliates (collectively the "Company") in deciding whether to approve me as an Eggs Up Grill- restaurant franchisee (the "Franchise"). I certify that the information I have provided on this Application is true, correct, and complete as of the date shown beneath my signature. I authorize the Company to rely on this information in deciding whether to grant the Franchise. I am aware of no facts, circumstances or events (actual or threatened) that I have not disclosed that might make the information contained herein or that I have otherwise provided to the Company incorrect, incomplete or misleading. I agree to promptly notify the Company of any material change in any of such information and of any events that might have a material impact on the truth, accuracy or completeness of such information. I understand that the Company might require additional information, and I will promptly respond to the Company's requests.

I understand that, as part of its assessment, the Company will conduct a background and credit history check using whatever resources are lawfully available, and I will separately authorize it to do so and will provide it with any additional information necessary to do so.

During the process of considering whether to approve me as the owner of the Franchise, the Company might (at its discretion) provide or grant me access to certain information, and I might receive certain information from other Eggs Up Grill franchisees, whether orally, in writing, or in electronic or other form or format, regarding the Company's business and the operation of Eggs Up Grill restaurants, including, without limitation, unit development and operating procedures and techniques, financial information, product and service offerings, supply sources, actual and proposed advertising and marketing plans and techniques, development plans and processes, unit design and specifications (collectively, the Information"). I agree that I will hold all Information in strict confidence, that I will not disclose any Information to any third party without the Company's prior written consent (except to my legal and financial advisors whose duties justify the need to know such Information), and that I will use the Information only in connection with my exploration of whether to purchase an Eggs up Grill Franchise. I agree that I will return or destroy any Information in my possession at the Company's direction.
